These Terms govern your access to, usage of all content, Product and Services available at the Qodea Technology website (the "Service") operated by Qodea Technology Limited ("us", "we", or "our").
Your access to our services is subject to your acceptance, without modification, of all of the terms and conditions contained herein.
Intellectual Property
The Agreement does not transfer from Us to you any of Ours or third party intellectual property, and all right, title, and interest in and to such property will remain (as between the parties) solely with Qodea Technology Limited and its licensors. This includes pre-existing Qodea Technology frameworks, accelerators, and methodologies, together with deliverables expressly identified as retained by us, unless a separate written agreement assigns ownership differently.
Service provision & payment
Professional services from Qodea Technology Limited are delivered according to an agreed statement of work, milestone plan, and payment schedule set out in a formal proposal or contract. Retainer or time-and-materials fees are invoiced in line with that contract—typically in advance of each service period. Late payment may result in suspension of work or withdrawal of access to shared collaboration environments.
Accounts & client responsibilities
Where delivery depends on access to your cloud tenants, source control, ticketing systems, or other tooling, you agree to provision timely, least-privilege access for Qodea Technology personnel. You remain responsible for credentials, licensing, and the security of systems outside the agreed scope of our engagement.
Termination
We may terminate or suspend your access to all or any part of our Services at any time, with or without cause, with or without notice, effective immediately, particularly in cases of non-payment or breach of this Agreement. If you wish to terminate the Agreement or your Qodea Technology Limited account, you may simply discontinue using our Services, subject to any cancellation terms outlined in your specific service contract.
Disclaimer of Warranties
Our Services are provided "AS IS." and "AS AVAILABLE". Qodea Technology Limited and its suppliers and licensors hereby disclaim all warranties of any kind. Neither Qodea Technology Limited, nor its suppliers and licensors, makes any warranty that our Services will be error-free or that access thereto will be continuous or uninterrupted. We do not guarantee specific commercial or technical outcomes; delivery depends on third-party platforms, your internal change cadence, and factors outside our reasonable control.
Changes
Qodea Technology Limited reserves the right, at our sole discretion, to modify or replace these Terms at any time. Your continued use of our Services after the new terms become effective will be subject to the new terms.
